Terms of use
Effective 21 September 2026. This translation is provided for convenience; only the French version is legally binding.
1. Purpose
These terms govern the use of the PassLMS platform, published by CLS COULON LEARNING SOLUTIONS (see the legal notice). They apply to anyone who accesses the service: administrators of client companies and learners holding an access code.
2. The service
The platform hosts training modules supplied by the client company, gives learners access to them with a code, records course completion, issues a certificate of completion and makes the results available to the designated administrators.
3. Commercial terms
Prices, subscription length, number of users and related services are set out in the quote and contract signed with each client company. The plans shown on this site are indicative and do not constitute a contractual commitment. When the subscription expires or is suspended, access for the company’s administrators is interrupted.
4. Access codes and accounts
- A course access code belongs to the client company: it must not be shared beyond the learners it designates;
- Administrator credentials are strictly personal and must not be shared;
- The client company is responsible for the access it grants and for revoking it when someone leaves their role;
- Any suspicious use must be reported to the publisher without delay, so that the code or account can be replaced.
5. User commitments
Users agree not to harm the service, and in particular not to:
- attempt to access data not intended for them, or bypass access controls;
- copy, extract or redistribute course content without the rights holder’s permission;
- disrupt the service, through massive automated requests or any other means;
- upload unlawful content, or personal data without a legal basis.
Any breach may lead to immediate suspension of the access concerned.
6. Course content
Uploaded modules remain the property of the client company or their authors. The client company warrants that it holds the rights needed to distribute them and remains responsible for their content. The publisher only hosts and distributes them, and may remove any manifestly unlawful content reported to it.
7. Availability and maintenance
The publisher uses reasonable means to keep the service accessible, without guaranteeing uninterrupted operation. Maintenance may temporarily suspend access; it is announced when its duration warrants it. Any availability commitments are set out in the contract.
8. Liability
The publisher cannot be held liable for indirect damage, or for data loss resulting from use that does not comply with these terms. It is not responsible for the educational content of the modules, nor for decisions made by the client company based on the recorded results.
9. Personal data
The processing of personal data is described in the privacy policy. A data processing agreement compliant with Article 28 GDPR is concluded with each client company.
10. Changes to these terms
These terms may be amended to reflect changes to the service or to regulations. The applicable version is the one published on this page; client companies are informed of any substantial change.
11. Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties will seek an amicable solution before taking any action; failing that, the dispute falls under the competent courts of the publisher’s registered office.
